Interim draft — attorney review pending
This document is an AI-assisted interim draft published so our policies are visible from day one. It has not yet been reviewed by a licensed attorney and will be updated once that review is complete. It is not legal advice.
1. Who we are
The AI Innovation Club (the “Club,” also “AIIC”) is an educational membership program and an operating activity of Stay Strategies LLC, based in Las Vegas, Nevada. These Terms govern this website, free workshop registrations, and Club memberships.
2. You must be 18 or older
You must be at least 18 years old to use the platform or register for Club activities. By reserving a seat or creating an account you represent that you are 18 or older. The Club does not knowingly permit registration or data collection from anyone under 18; if we learn a registration belongs to someone under 18, we will cancel it and delete the associated personal data.
3. Free workshops
Free workshop seats are exactly that — free. No purchase is required to attend, and attending creates no obligation to join. Seats are limited and first-come; if you can't make it, your reservation simply lapses and you're welcome at a later session.
4. Memberships and billing
Memberships are month-to-month with no long-term contract. You may cancel anytime, effective at the end of the current billing period. Promotional pricing (for example, founding-member pricing) stays in effect for as long as the offer states, provided the membership remains continuously active. Prices for new members may change; we will not change your active tier's price mid-billing-period.
5. The First Win Guarantee
If you attend at least 3 of your first 4 weekly sessions, complete the assigned practice (about 30 minutes per week), and bring a real workflow to fix, we guarantee you a working automation within 30 days of joining — or we keep working with you at no additional charge until you have one. Missed sessions pause the 30-day clock. The guarantee is a service commitment, not a refund promise, and it is the only performance guarantee we make; individual results beyond it vary with effort and circumstances.
6. Referral program — points, never cash
Members may share a personal referral link or QR code. If someone they refer later joins, the referring member earns Club points and status recognition. Referral rewards are non-monetary, carry no cash value, and are not redeemable for cash. There is no downline, no recruiting requirement, and no compensation for recruiting: this is a single-level thank-you, not an income opportunity. Self-referrals and duplicate or fraudulent referrals earn nothing, and the Club may adjust or end the program prospectively at any time.
7. Contributions are educational and voluntary
Some Club activities invite members to practice on Club-owned projects (for example, submitting ideas or taking build-workshop exercises). These contribution activities exist solely for your education, skill development, and practice — you are the primary intended beneficiary. Participation is entirely voluntary; membership and its benefits are never conditioned on producing or shipping any work. Contribution activities are not employment and create no employment, contractor, agency, or partnership relationship with the Club or Stay Strategies LLC, and no wage, fee, or other monetary compensation is owed or expected for them. Points, badges, and leaderboard standing are non-cash status recognition only. During the current program phase, contribution activities are limited to projects owned by the Club or Stay Strategies LLC; no work on external client deliverables is requested or rewarded. Nothing in this section waives any right that applicable law does not permit to be waived.
8. Contribution ownership and license
Definitions.A “Contribution” is any code, design, text, documentation, idea, feedback, artwork, or other material a member submits, uploads, or creates in connection with any Club or Club-owned project — including through the idea board, the Club's build workshops, punch lists, or the feedback tools.
Ownership. As between the member and Stay Strategies LLC, the member retains ownership of the original authorship in their Contribution, except to the extent an assignment is separately agreed in writing.
License grant. The member grants Stay Strategies LLC and the Club a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, create derivative works of, publicly display and perform, distribute, and otherwise exploit the Contribution, in whole or in part, in any medium and for any purpose — including incorporation into commercial products and services offered by the Club or Stay Strategies LLC, and their promotion.
Moral rights and attribution. To the extent permitted by applicable law, the member waives, or agrees not to assert, any moral rights in the Contribution that would prevent Stay Strategies LLC from exercising this license. The Club may, but is not required to, credit the member.
Member representations. The member represents that each Contribution is their original work (or that they hold the rights needed to grant this license), does not infringe any third party's intellectual property or other rights, and contains no confidential information the member is not authorized to share. If a Contribution includes third-party or open-source material, the member will identify it and its license so the Club can comply; the member does not grant rights they do not hold.
Client deliverables (future / conditional). If a Contribution is or becomes part of a deliverable for an external client, the member grants the Club the same license for that deliverable and agrees the Club may further license or assign it to the client as the client agreement requires. This provision is inactive during the current Club-owned-projects-only phase (§7) and takes effect only if the Club launches an external-client program under separate terms.
No obligation. Nothing in this section obligates the Club to use any Contribution or to compensate the member for it; contribution recognition (points, status) is governed by §7 and carries no cash value.
9. Affiliate disclosure
Some tool links the Club shares are affiliate links: the Club earns a commission when you use them, and members typically get a discount. We only recommend tools we actually teach with. This disclosure appears wherever affiliate links appear.
10. Acceptable use and content
Be a good clubmate: no harassment, no misuse of other members' work or data, no unlawful use of the site or platform. Club course materials remain the Club's. The personal automations and projects you build for your own use in class — on your own accounts, for your own workflows — are yours alone; this carve-out does not apply to Club-directed Contributions (idea-board, punch-list, and workshop submissions to Club-owned projects), which you also own but license to the Club under §8.
11. Disclaimers and limits
The Club is an educational program. Except for the First Win Guarantee in §5, the site and Club services are provided “as is” without other warranties, and nothing the Club teaches is professional, legal, financial, or employment advice. To the maximum extent permitted by law, Stay Strategies LLC's total liability arising from the Club is limited to the membership fees you paid in the three months before the claim.
12. Governing law, changes, contact
These Terms are governed by the laws of the State of Nevada. We may update these Terms; material changes will be posted here with a new effective date, and continued use after that date is acceptance. Questions: reply to any email from the Club, or write to Stay Strategies LLC, Las Vegas, NV. See also our Privacy Policy.
